QBI §199A Planning: The Deduction Is the Result of the Business Structure, Not the Starting Point
QBI is an output of taxable income, entity structure, wages, property, business classification, retirement contributions, and other facts. It should not drive entity or compensation decisions in isolation.
The qualified business income deduction is an output of the taxpayer’s business structure, taxable income, wages, property and activity classification. It should not be treated as the starting point for an entity or compensation recommendation.
Determine the qualified activity
Identify the trade or business, whether it is a specified service trade or business where relevant, and how aggregation rules apply. Rental and multi-entity structures may require additional factual development.
Taxable income controls the operating regime
Section 199A applies differently across taxable-income ranges. Because thresholds are indexed, evergreen planning should focus on the mechanics and use current-year reference tables for amounts.
Compensation and retirement decisions can move both sides of the equation
S corporation wages reduce QBI but may be relevant to wage limitations and retirement contributions. Retirement-plan deductions reduce taxable income and may move the taxpayer into or out of a limitation range. Model the complete result.
Loss carryforwards are part of the deduction
Qualified business losses can carry forward for §199A purposes and reduce later positive QBI. Maintain the attribute separately from NOLs and passive losses.
Entity choice should survive a no-QBI scenario
A structure should not be adopted solely because one projected year produces a large §199A deduction. Test the recommendation across changes in income, wages, law and business ownership.
Planning takeaway
The QBI deduction is the result of the business facts—not the reason to manufacture them.
Coordinate entity choice, compensation, retirement contributions, taxable income and carryforwards before concluding that §199A improves the taxpayer’s net position.
