Tax Mechanics

Stock Compensation Planning: The Tax Result Depends on What You Received, When You Act, and What You Hold

Options, restricted stock, RSUs, ESPPs, and employer shares can produce different ordinary income, capital gain, AMT, withholding, basis, and concentration consequences.

Stock compensation can create tax at grant, vesting, exercise, sale or several of those points depending on the instrument. The practitioner should identify exactly what the taxpayer received before modeling timing or diversification.

Name the instrument

Restricted stock, RSUs, nonqualified stock options, incentive stock options, ESPP shares and carried interests can follow different tax rules. Employer statements and brokerage labels are not substitutes for the governing plan documents and transaction history.

Track basis from compensation income

When compensation is recognized, the same amount may become part of basis. Duplicate taxation often results when a brokerage basis report is incomplete or the practitioner fails to reconcile W-2 income to Form 8949.

ISOs create a regular-tax/AMT split

An ISO exercise can generate an AMT adjustment even when regular tax recognizes no compensation. Holding period, later sale and minimum-tax-credit consequences should be modeled before a large exercise.

Concentration risk is not a tax decision

Deferring a sale to obtain long-term treatment may expose the taxpayer to significant company-stock risk. The practitioner should explain the tax cost of alternatives without making an investment recommendation outside the engagement.

Preserve transaction-level evidence

Keep grant notices, vesting/exercise confirmations, W-2 treatment, brokerage statements, 3921/3922 forms and basis reconciliations. Stock-compensation errors often surface years later at sale.

Planning takeaway

The tax answer depends on the instrument and the timeline.

Map each compensation event from grant through disposition, reconcile payroll and brokerage reporting, and model AMT and investment timing before implementation.
